These Terms and Conditions ("Terms") govern your access to and use of the services provided by HYBIT AI Ltd ("HYBIT", "we", "us", "our"), including our voice AI platform, website and related services. By accessing our services or entering into a service agreement with us, you agree to these Terms in full.
HYBIT AI Ltd is registered in England and Wales. Company number: 17078308. Registered office: 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ.
1. Services
HYBIT provides voice AI services to insurance brokerages, including inbound call capture, outbound pipeline management, lead qualification and CRM automation. The specific services provided to your brokerage are set out in your individual service agreement.
We reserve the right to modify, update or discontinue any aspect of our platform at any time. Where changes materially affect your service, we will provide reasonable notice.
2. Eligibility
Our services are available to businesses only. By using our platform, you confirm that you are acting on behalf of a registered business and that you have the authority to enter into these Terms on that business's behalf.
3. Your Responsibilities
As a client of HYBIT, you are responsible for:
Providing accurate information during onboarding and throughout the service relationship
Ensuring your use of our platform complies with all applicable laws and regulations, including FCA rules and UK GDPR
Ensuring callers are appropriately informed that their call may be handled by an AI system, in line with FCA guidance
Maintaining the security of any access credentials provided to you
Ensuring your CRM and internal systems are compatible with our integration requirements
4. Fees and Payment
Fees for our services are set out in your service agreement. All fees are invoiced in advance unless otherwise agreed. Payment terms are 14 days from the date of invoice.
We reserve the right to suspend services where payment is overdue by more than 14 days, following written notice. All fees are exclusive of VAT, which will be applied where applicable.
5. Intellectual Property
All intellectual property in the HYBIT platform, including software, AI models, documentation and branding, remains the sole property of HYBIT AI Ltd. Nothing in these Terms transfers any intellectual property rights to you.
You retain ownership of all data you provide to us, including call recordings and CRM data processed on your behalf. You grant HYBIT a limited licence to process that data solely for the purpose of delivering the contracted services.
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed in connection with the service relationship. This obligation survives termination of the service agreement. Neither party shall disclose the other's confidential information to any third party without prior written consent, except where required by law.
7. Data Protection
Both parties agree to comply with all applicable data protection laws, including UK GDPR. Where HYBIT processes personal data on your behalf as a data processor, the terms of our Data Processing Agreement apply. A copy of our Data Processing Agreement is available on request.
8. Limitation of Liability
To the fullest extent permitted by law, HYBIT's total liability to you in connection with any claim arising from or related to these Terms or our services shall not exceed the total fees paid by you to HYBIT in the three months preceding the claim.
We are not liable for any indirect, consequential, special or incidental losses, including loss of profits, revenue, data or business opportunity, even if we have been advised of the possibility of such losses.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or any other liability that cannot be excluded by law.
9. Termination
Either party may terminate the service agreement in accordance with the notice period set out in that agreement. We reserve the right to terminate immediately where you are in material breach of these Terms or your service agreement, including non-payment or use of our platform in a manner that breaches applicable law.
Upon termination, we will provide you with a copy of your data in a structured format within 30 days, after which it will be securely deleted from our systems.
10. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Changes to These Terms
We may update these Terms from time to time. Where changes are material, we will notify you by email with at least 30 days' notice. Continued use of our services following that notice constitutes acceptance of the updated Terms.
